Terms of Service

1. Service Overview

Shiftlyio provides maintenance digitization services to facilities, including:

• •Extraction and digitization of maintenance schedules from equipment manuals and documentation
• •Structuring and organizing preventive maintenance (PM) data
• •Delivery of digitized schedules in multiple formats (CSV, Excel, PDF)
• •Training and support services
• •Optional access to our software platform

2. Eligibility & Accounts

• •You must be at least 18 and legally able to enter contracts on behalf of your organization.
• •You represent that you have authority to provide equipment documentation and facility information to Shiftlyio.
• •You are responsible for the accuracy and legality of information you provide.

3. Service Delivery & Timeline

• •2-Week Guarantee: We guarantee delivery of your complete, organized maintenance schedules within 2 weeks of project start, or you don't pay. Project start date is defined as the date we receive all necessary documentation.
• •Scope: Timeline applies to the initial project scope agreed upon during consultation. Additional equipment or documentation added mid-project may extend the timeline.
• •Deliverables: You will receive digitized maintenance schedules in your chosen format(s), organized and structured for immediate use.

4. Pricing & Payment

• •Pricing is based on facility size, number of assets, and project complexity. A custom quote will be provided after consultation.
• •Payment is due upon completion and delivery of the digitization service, unless otherwise agreed in writing.
• •Billing is handled by Stripe. Payment methods accepted include credit card and ACH transfer.
• •If we fail to meet the 2-week guarantee, you owe nothing for the digitization service.

5. Support & Maintenance

• •30-Day Support: Included with every project. During this period, you may contact us for clarifications, adjustments, or questions about your digitized schedules.
• •Training: Las Vegas facilities receive in-person training and walkthrough. Remote facilities receive video training.
• •Ongoing Support: After the 30-day period, ongoing support and software platform access are available as optional paid services.

6. Your Documentation & Our License

You retain all rights to your equipment manuals, maintenance documentation, and facility information. You grant Shiftlyio a limited license to:

• •Access, process, and digitize your documentation solely to provide the Services
• •Store documentation temporarily during project completion
• •This license terminates upon project completion and secure deletion of source materials

7. Deliverable Ownership

You own your deliverables. The digitized maintenance schedules, Excel/CSV files, PDFs, and other project deliverables we create are your property. You may use, modify, distribute, and import them into any system without restriction. We retain no rights to your maintenance data.

8. Confidentiality

Your equipment documentation, facility information, and maintenance data are confidential. We will not disclose your proprietary information to third parties except as necessary to provide the Services (e.g., cloud storage providers under confidentiality agreements) or as required by law. This obligation survives termination of the Services.

9. Acceptable Use

• •You will provide accurate information and documentation
• •You will not misrepresent ownership of documentation provided
• •You will comply with applicable labor, safety, and privacy laws when using digitized maintenance schedules

10. Communications

By providing contact information, you consent to receive email and phone/SMS communications related to consultations, project updates, and support. Message frequency varies; message & data rates may apply. You may opt out of marketing communications at any time.

11. Third-Party Services

We use third-party services (e.g., Stripe for billing, cloud storage for document processing). Your use of these services through our platform may be subject to their terms. We are not responsible for third-party service failures or changes.

12. Intellectual Property

The Shiftlyio website, branding, software platform (if used), and our digitization processes are owned by Shiftlyio. These Terms do not grant you any rights to our intellectual property except as necessary to receive the Services.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DIGITIZED SCHEDULES WILL BE ERROR-FREE OR THAT ALL INFORMATION FROM SOURCE DOCUMENTS CAN BE EXTRACTED. YOU ARE RESPONSIBLE FOR REVIEWING DELIVERABLES FOR ACCURACY AND COMPLETENESS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL Shiftlyio BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $500, WHICHEVER IS GREATER.

15. Indemnification

You will indemnify and hold Shiftlyio harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from: (a) documentation or information you provide, (b) your use of deliverables, (c) your violation of these Terms, or (d) your violation of applicable law.

16. Termination

Either party may terminate before project start. Once a project begins, cancellation requires written notice and may be subject to fees for work completed. Upon termination, your right to receive Services ends, but ownership of completed deliverables remains with you. Confidentiality, disclaimers, liability limits, and indemnity survive termination.

17. Governing Law & Disputes

These Terms are governed by the laws of Nevada, without regard to conflicts of law. Any disputes will be resolved in the state or federal courts located in Clark County, Nevada, unless otherwise required by law. You waive any objection to venue or inconvenient forum.

18. Changes to These Terms

We may update these Terms from time to time. We'll post the revised Terms with a new effective date. For active projects, we'll provide notice of material changes. Continued use of the Services after changes constitutes acceptance.

19. Entire Agreement

These Terms, along with our Privacy Policy and any written project agreement, constitute the entire agreement between you and Shiftlyio regarding the Services. If any provision is found unenforceable, the remaining provisions continue in effect.
